1. Service

Lockzi provides a platform for creators to lock, share, and monetize their digital content. By accessing or using the service, you agree to be bound by these Terms of Service. If you do not agree, you may not use the service.

2. Eligibility

You must be at least 18 years old to use the service. By creating an account, you represent that you are at least 18 years of age and that all information you provide is accurate and complete. You are solely responsible for maintaining the confidentiality of your account credentials.

3. Your Content

You retain all rights to the content you upload. You represent that you own or have the necessary rights to share it. You may not upload content that violates any law or infringes on the rights of others. You grant Lockzi a limited, non-exclusive license to host, store, and display your content solely for the purpose of providing the service. To report infringing content, see our Copyright & IP Infringement Policy. Accounts with repeated valid infringement reports will be suspended or closed.

4. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Uploading content that is illegal, fraudulent, defamatory, or infringes on any third-party rights.
• Attempting to manipulate, bypass, or exploit the payment, locking, or monetization systems.
• Creating multiple accounts for the purpose of abusing promotions, referrals, or payouts.
• Using the service to launder money, process unauthorized transactions, or engage in any financial crime.
• Distributing malware, phishing links, or engaging in any form of cyberattack through the platform.
• Reverse-engineering, decompiling, or attempting to extract the source code of the service.
• Impersonating Lockzi, its employees, or other users.
• Uploading, selling, or promoting sexually explicit or pornographic content, nudity, or content that depicts or promotes sexual services. Any content involving minors in a sexual or exploitative context is strictly prohibited and will be reported to the authorities.

Lockzi may remove any content that violates these rules without notice and may suspend or close the seller's account.

5. Payments & Payouts

Payouts are processed through third-party payment providers. Lockzi is not responsible for delays or issues caused by these providers. Fees are clearly displayed before any transaction is completed. You are responsible for any taxes applicable to your earnings.

6. Fraud Prevention & Fund Holding

Lockzi takes the integrity of its platform seriously. To protect creators, buyers, and the platform itself, we reserve the right to:

• Review, investigate, and monitor accounts for suspicious activity, fraudulent behavior, or violations of these Terms.
• Temporarily hold, freeze, or delay payouts if we reasonably suspect fraud, chargebacks, disputes, or violations of these Terms.
• Deduct or withhold funds to cover chargebacks, refunds, disputes, or losses caused by your violation of these Terms.
• Permanently forfeit any withheld funds to Lockzi if an investigation confirms fraudulent or illegal activity.

If your account is flagged for suspicious activity, Lockzi may require additional identity verification (including government-issued ID) before releasing any held funds. Funds may be held for up to 180 days during the pendency of an investigation or as required by applicable law or our payment partners.

7. Account Suspension & Termination

Lockzi reserves the right to suspend, restrict, or terminate your account at any time, with or without notice, if:

• You violate any provision of these Terms.
• We suspect fraudulent, illegal, or abusive activity on your account.
• You fail to complete required identity verification procedures.
• Your account has been inactive for an extended period.
• We are required to do so by applicable law or a regulatory authority.

Upon termination, your right to access and use the service will immediately cease. Any funds in your account will be handled in accordance with Section 6 of these Terms. Termination does not relieve you of any obligations incurred prior to termination, including payment obligations.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Lockzi, its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising from:

• Your use or inability to use the service.
• Any unauthorized access to or alteration of your transmissions or data.
• Any suspension, freezing, or forfeiture of funds under Section 6.
• Any termination of your account under Section 7.

Lockzi is provided "as is" and "as available" without warranties of any kind, whether express or implied. Lockzi does not guarantee that the service will be uninterrupted, secure, or error-free.

9. Indemnification

You agree to indemnify, defend, and hold harmless Lockzi, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of the service.
• Your violation of these Terms or any applicable law.
• Your content or any activity that occurs under your account.
• Your infringement of any third-party right, including intellectual property or privacy rights.

10. Dispute Resolution & Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the service shall be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

You agree that any cause of action arising out of or related to the service must commence within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred. You agree to resolve disputes on an individual basis and waive any right to participate in a class action.

11. Privacy

Your use of the service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through the service or via email. Your continued use of the service after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the service.

13. Refund Policy

All sales of digital files are final once the file has been delivered and opened, except in these cases. Buyers may request a refund within 5 days of purchase if:

• The file is not as described by the seller.
• The file is corrupted, unreadable, or cannot be accessed.
• The file was paid for but never delivered.

To request a refund, open a dispute from your order page or contact [email protected] with your order number. Approved refunds are returned to the original payment method. The refunded amount is deducted from the seller's earnings for that sale, and the related platform fee is returned.

14. Fees & Payout Schedule

Each purchase on Lockzi is a sale by the creator (the seller) to the buyer. The creator is the merchant of record for the content sold. Lockzi LLC operates the marketplace and the checkout, collects the buyer's payment through our third-party payment partners, keeps a 10% platform fee, and passes the remaining 90% to the creator, either directly to the creator's connected payment account when the sale is processed or by crediting the creator's Lockzi balance for withdrawal. Charges may appear on the buyer's statement under the Lockzi name. Refunds, chargebacks, and disputes are handled as described in Sections 6 and 13.

Lockzi charges a platform fee of 10% of each sale. Sellers receive the remaining 90%. Payment processing is handled by our third-party payment partners. Earnings from a sale are available for payout immediately, with no standard hold period. Payouts are subject to the account review and fund holding terms in Section 6.

15. Seller Rules

By selling on Lockzi, you agree that:

• You will only sell digital files you own or have the right to sell.
• Your title, description, and previews accurately represent what the buyer receives.
• You will not sell illegal content, malware, or content that infringes the rights of others.
• You will not sell adult content: sexually explicit or pornographic material, nudity, or content depicting or promoting sexual services. Lockzi may remove such listings and suspend your account.
• You will respond to buyer disputes and support requests promptly.
• You complete any required identity and payout verification with our payment partners.
• You are responsible for any taxes owed on your earnings.
